Terms of Service

Please read these terms carefully before using the Wisdom For Kids School Platform.

1. Acceptance of Terms

Wisdom For Kids is a product owned and operated by THEOS LUMEN LTD ("the Company"). By accessing or using the Wisdom For Kids mobile application, web dashboard, and associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accessing the Service on behalf of a school or educational institution ("School"), you represent that you have the authority to bind that School to these Terms.

2. Description of Service & AI Features

Wisdom For Kids is an educational platform designed to teach moral character and social-emotional learning (SEL) through stories and interactive AI features.

Important AI Disclaimer

The Service includes artificial intelligence ("AI") features, including a chatbot ("Solomon") and behavioral analysis.

  • Not Professional Advice: The AI is for educational and entertainment purposes only. It is not a substitute for professional psychological, medical, or therapeutic advice.
  • Accuracy: AI systems can occasionally produce incorrect or "hallucinated" information. Teachers should review AI-generated insights before acting on them.
  • Supervision: While we implement safety guardrails, the School is responsible for supervising student interactions with the AI.

3. Accounts & Licensing

  • School Official Status: You affirm that you are a "School Official" with a legitimate educational interest in the students you add to the platform, as defined under FERPA and COPPA.
  • Teacher License (Classroom Go): This license is for a single educator. Account credentials may not be shared between multiple teachers.
  • School License: This license covers a specific school entity. It allows for multiple authorized teacher accounts under one administrative umbrella.
  • Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

4. Subscription, Billing & Usage

Annual Term & Auto-Renewal

Subscriptions are billed annually in advance. To ensure uninterrupted service, subscriptions automatically renew at the end of the billing cycle unless canceled in writing or via the dashboard prior to the renewal date.

AI Usage Limits (Pooled Allowance)

Your plan includes a specific monthly allowance of AI Voice Minutes and Text Interactions. This allowance is "pooled" across all students in your account.

  • Exhaustion of Allowance: When the pooled AI allowance is exhausted, AI features pause until the next billing refill or until you purchase an add-on. Non-AI content remains available.
  • Monthly Refill: Allowances are topped up at the start of each billing month.

Cancellation & Refunds

You may cancel your subscription at any time. Payments are non-refundable. If you cancel, your access will continue until the end of your current paid billing period, after which the account will not renew.

5. User Conduct

The School is responsible for the conduct of its students on the Platform. You agree not to use the Service to:

  • Upload content that is unlawful, harmful, or inappropriate.
  • Attempt to "jailbreak," manipulate, or exploit the AI models.
  • Reverse engineer the Service or access it to build a competitive product.

We reserve the right to suspend or ban any student or teacher account that violates these rules, though the primary responsibility for student discipline rests with the School.

6. Disclaimers & Limitation of Liability

Read this section carefully.

"As Is" Service: The Service is provided "as is" and "as available." We do not guarantee that the Service will be uninterrupted or error-free. We rely on third-party providers (e.g., OpenAI, StreamIO) and are not liable for temporary outages caused by these providers.

Limitation of Liability: To the maximum extent permitted by law, Wisdom For Kids shall not be liable for any indirect, incidental, or consequential damages. In no event shall our total liability exceed the amount paid by you to Wisdom For Kids in the twelve (12) months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless THEOS LUMEN LTD, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • Your use of and access to the Service.
  • Your violation of any term of these Terms.
  • Your violation of any third-party right, including without limitation any privacy, intellectual property, or other proprietary rights.
  • Any claim that your use of the Service caused damage to a third party.
  • Your failure to obtain proper consents (including parental consent) as required by applicable law.

This indemnification obligation will survive the termination of these Terms and your use of the Service.

8. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be resolved as follows:

Mandatory Mediation: The parties shall first attempt to resolve any dispute through good-faith mediation. Either party may initiate mediation by providing written notice to the other party. The mediation shall be conducted by a mutually agreed-upon mediator, or via video conference. Each party shall bear its own costs, and the parties shall share equally the cost of the mediator.

Binding Arbitration: If mediation fails to resolve the dispute within sixty (60) days, either party may submit the dispute to binding arbitration administered by a mutually agreed arbitration body. The arbitration shall be conducted by a single arbitrator, in the English language. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

Exception: Either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.
